Terms of Service

These Terms of Service ("Terms") govern your access to and use of LeadPulse (the "Service"), operated by LeadPulse ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us immediately of any unauthorized use.

2. The Service

LeadPulse provides an AI-powered chatbot widget, a lead and conversation dashboard, lead notifications, and email campaign tools. We may add, change, or remove features over time. We strive for high availability but do not guarantee the Service will be uninterrupted or error-free.

3. Subscriptions, billing, and trials

• Plans: paid plans are billed in advance on a monthly or annual basis according to the tier you select.
• Free trial: trials are provided for the stated period and may require no payment method up front. We may modify or end trials at any time.
• Renewal: subscriptions renew automatically until canceled. You may cancel at any time, effective at the end of the current billing period.
• Refunds: payments are non-refundable except where required by law.
• Taxes: fees are exclusive of applicable taxes, which you are responsible for.

4. Acceptable use

You agree not to use the Service to:

• Violate any law or infringe the rights of others.
• Send spam, unsolicited messages, or content that is unlawful, deceptive, harassing, or harmful.
• Collect sensitive personal data (such as health, financial account, or government ID numbers) through the chatbot without a lawful basis and appropriate disclosures.
• Reverse engineer, scrape, overload, or attempt to gain unauthorized access to the Service.
• Resell or white-label the Service except as expressly permitted by your plan.

5. Customer data and responsibilities

You retain ownership of the data you and your End Users submit through the Service ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide the Service. You are the controller of lead and conversation data captured by your chatbot and are responsible for: providing required privacy notices to End Users, obtaining any necessary consents, and handling data subject requests. You represent that you have the rights to collect and process Customer Data.

6. AI-generated content disclaimer

The Service uses AI language models to generate chatbot replies, summaries, and email drafts. AI output may be inaccurate, incomplete, or unsuitable for a given purpose. You are responsible for reviewing AI-generated content before relying on or sending it. The Service does not provide legal, financial, medical, or other professional advice.

7. Intellectual property

The Service, including its software, design, and trademarks, is owned by LeadPulse and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. These Terms do not transfer any ownership rights to you.

8. Third-party services

The Service integrates with third parties such as Supabase, Anthropic, Resend, Telegram, and Stripe. Your use of those integrations may be subject to their terms. We are not responsible for third-party services and disclaim liability for their acts or omissions.

9. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us or others. On termination, your right to use the Service ends and we may delete Customer Data in accordance with our Privacy Policy.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that defects will be corrected.

11. Limitation of liability

To the maximum extent permitted by law, LeadPulse will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold LeadPulse harmless from claims, damages, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, or your breach of these Terms.

13. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date above and, for material changes, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which LeadPulse operates, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of that jurisdiction.
